1. Acceptance of This Agreement

This Combined Legal Agreement, including the Terms of Use, Privacy Policy, Safety Waiver, Liability Release, Auction Terms, Charity Ryde Terms, User Content Policy, and Mobile App End User License Terms, governs your access to and use of the RYDR mobile application, website, services, tools, features, communications, and related platforms operated by RYDR, LLC.

Throughout this Agreement, “RYDR,” “we,” “our,” and “us” refer to RYDR, LLC. “You,” “your,” and “user” refer to any person who accesses, downloads, registers for, uses, participates in, posts through, pays through, organizes through, or otherwise interacts with the RYDR app, website, or services.

By creating an account, downloading the app, using the app, submitting a ryde, joining a ryde, participating in a charity ryde, bidding in an auction, sending a message, uploading content, receiving push notifications, or otherwise using RYDR in any way, you agree to be bound by this Agreement.

If you do not agree to this Agreement, you must not access or use RYDR.


2. Overview of RYDR

RYDR is a mobile platform designed to help users discover, organize, join, and engage with rydes, events, community activities, charity rydes, auctions, ride-related content, and rider-focused experiences.

RYDR may include features such as:

  • User accounts and profiles
  • Public and private ryde/event listings
  • Charity ryde submissions
  • Admin-reviewed charity/event approvals
  • Route, distance, and mileage tracking
  • Weekly distance and ride activity statistics
  • Leaderboards
  • User-uploaded photos and descriptions
  • In-app messaging
  • Push notifications
  • Auction functionality connected to approved charity rydes
  • Stripe-enabled payment processing
  • Website and mobile app access

RYDR is intended to be a technology platform. RYDR is not a transportation provider, ride operator, tour company, emergency response provider, safety supervisor, insurance provider, payment guarantor, nonprofit organization, or professional event management company unless expressly stated in writing for a specific RYDR-hosted event.


3. Eligibility and Minors

RYDR may be used by individuals who are legally able to agree to this Agreement or who use the app with appropriate parent or legal guardian involvement.

Because RYDR may involve motorized vehicles, outdoor activities, location-related data, public event participation, user-generated content, messaging, and payments, minors should only use RYDR with the knowledge, permission, and supervision of a parent or legal guardian.

Users under the age of 18 should be accompanied by a responsible adult when participating in any ryde, event, charity ryde, auction-related pickup, meetup, or activity discovered through or organized on RYDR.

Users are responsible for complying with all applicable age, licensing, registration, insurance, safety, trail, road, vehicle, and supervision requirements in their location.

RYDR does not knowingly intend to collect personal information from children under 13 without appropriate legal permission. If RYDR learns that it has collected personal information from a child under 13 without required parent or guardian consent, RYDR may delete the information and/or disable the account.

Parents or legal guardians may contact RYDR at support@joinrydr.com to request review, deletion, or correction of information associated with a minor.


4. Account Registration and Security

To use certain features of RYDR, you may need to create an account. Initial login options may include email/password and Google Sign-In. Additional login methods may be added in the future.

You agree to provide accurate, current, and complete information when creating and using your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree not to:

  • Create an account using false or misleading information
  • Use another person’s account without permission
  • Impersonate another person, organization, charity, organizer, or business
  • Share your account in a way that allows unauthorized access
  • Use RYDR for fraud, harassment, abuse, illegal conduct, or unsafe activity

RYDR may suspend, restrict, or terminate your account if we believe your account has been misused, compromised, used unlawfully, or used in violation of this Agreement.


5. User Responsibilities

You are solely responsible for your actions while using RYDR and while participating in any ryde, event, charity ryde, auction, meetup, or activity connected to RYDR.

By using RYDR, you agree that you are responsible for:

  • Obeying all traffic, road, trail, park, land-use, and safety laws
  • Operating any bike, motorcycle, snowmobile, vehicle, ATV, UTV, or other motorized equipment legally and safely
  • Maintaining any required license, permit, registration, insurance, protective equipment, and vehicle condition
  • Understanding the risks of riding, driving, navigating, meeting others, and participating in public or private events
  • Reviewing route details, road conditions, weather, terrain, event information, and safety considerations before participating
  • Making your own decision about whether a ryde, route, event, or activity is safe or appropriate for you
  • Supervising minors under your care
  • Communicating honestly with other users and organizers
  • Respecting other users, organizers, charities, communities, property owners, and the public

RYDR does not guarantee the accuracy, safety, legality, availability, quality, or suitability of any ryde, route, event, user, organizer, charity, auction item, description, location, or user-submitted content.


6. Safety Waiver, Assumption of Risk, and Liability Release

RYDR may be used in connection with activities that involve risk, including but not limited to biking, motorcycling, snowmobiling, driving, riding, public meetups, group events, charity rydes, auctions, vehicle operation, outdoor travel, route navigation, changing weather, road hazards, mechanical failure, equipment failure, property damage, personal injury, and interactions with other users or third parties.

By using RYDR, you acknowledge and agree that these activities may involve inherent and unpredictable risks. These risks may include, but are not limited to:

  • Accidents
  • Collisions
  • Falls
  • Equipment or vehicle malfunction
  • Unsafe road, trail, terrain, or weather conditions
  • Poor visibility
  • Reckless or negligent conduct by other participants or third parties
  • Property damage
  • Personal injury
  • Medical emergencies
  • Loss, theft, or damage to personal property
  • Disputes with other users, organizers, or third parties

You voluntarily assume all risks associated with your use of RYDR and your participation in any ryde, event, charity ryde, auction-related activity, meetup, or other activity connected to RYDR.

To the fullest extent permitted by law, you release, waive, discharge, and agree not to sue RYDR, LLC, its owners, members, managers, administrators, employees, contractors, developers, representatives, affiliates, successors, assigns, and related parties from and against any claims, damages, losses, injuries, liabilities, costs, expenses, or disputes arising out of or related to:

  • Your use of RYDR
  • Your participation in any ryde, event, charity ryde, auction, meetup, or activity
  • Your reliance on any route, listing, description, message, map, distance, mileage, leaderboard, event information, or user-submitted content
  • Your interaction with other users, organizers, charities, bidders, winners, attendees, or third parties
  • Any accident, injury, property damage, loss, or dispute connected to a ryde or event
  • Any failure to comply with laws, safety requirements, permits, licensing, insurance, or event obligations
  • Any conduct by third-party organizers, users, charities, or participants

This release applies to the fullest extent allowed by applicable law. Some jurisdictions may not allow certain waivers, exclusions, or limitations of liability. In those jurisdictions, RYDR’s liability will be limited to the maximum extent permitted by law.

Nothing in this Agreement is intended to waive liability that cannot legally be waived, including liability for intentional misconduct or other liability that applicable law does not allow to be released.


7. No Safety Supervision or Route Verification

RYDR does not inspect, supervise, certify, approve, or guarantee the safety of any ryde, route, event, charity ryde, meetup, road, trail, property, user, organizer, charity, auction item, or activity unless expressly stated in writing by RYDR.

RYDR does not guarantee that:

  • A route is safe, legal, open, accessible, or suitable
  • Road, trail, or weather conditions are safe
  • A user or organizer is qualified, licensed, insured, trustworthy, or experienced
  • A charity or cause is accurately represented by the organizer beyond RYDR’s reasonable review process
  • Any event has obtained proper permits, insurance, permissions, or legal approvals
  • Emergency assistance will be available
  • Maps, mileage, or distance tracking will be accurate
  • RYDR will detect or prevent unsafe activity

Users and organizers must make their own safety decisions and comply with all applicable laws.


8. Rydes, Events, and Charity Rydes

RYDR allows users and organizers to create, submit, discover, and participate in rydes and events. Charity rydes may be submitted by users at any time, but charity rydes must be reviewed and approved by RYDR administrators before they become publicly available in the app.

RYDR reserves the right to approve, reject, edit, remove, pause, or investigate any ryde, charity ryde, event, organizer, description, image, auction, or related content at any time.

Approval of a charity ryde or event by RYDR does not mean that RYDR guarantees the safety, legality, quality, financial accuracy, organizer credibility, charity status, tax treatment, or outcome of the event.

Organizers are responsible for:

  • Providing accurate event, charity, cause, and organizer information
  • Complying with all applicable laws and regulations
  • Obtaining required permits, licenses, approvals, and insurance
  • Managing event safety, logistics, communication, and operations
  • Ensuring auction items are accurately described and lawfully offered
  • Handling any shipping, pickup, delivery, title, transfer, or item-specific obligations outside the RYDR app
  • Communicating with participants and auction winners
  • Using distributed funds for the represented charitable purpose
  • Resolving disputes related to their event, charity, participants, auction items, shipping, handling, fulfillment, or offline transactions

RYDR may request additional information from organizers before approving or distributing funds related to a charity ryde.


9. Location, Distance, Ride Activity, and Leaderboards

RYDR may collect and process location-related, device-related, and usage-related information while you use the app. This may include information such as device IP address, approximate location, route-related data, ride activity, total rydes completed, total miles, weekly distance, and other usage metrics.

RYDR is designed so that users are not able to see another user’s live location through the app. However, RYDR may use ride activity data to power user statistics, app features, event-related functionality, and leaderboards.

Leaderboards may display user activity, such as top users, total rydes, miles, weekly distance, profile information, display name, username, or other app-related statistics. By using RYDR, you understand that certain activity metrics may be visible to other users as part of the app experience.

RYDR does not guarantee that mileage, distance, route, or leaderboard data will be accurate, complete, current, or error-free. Location and distance tracking may be affected by device settings, GPS availability, cellular signal, app permissions, battery settings, network conditions, and other technical factors.


10. In-App Messaging

RYDR may allow users, organizers, participants, and/or administrators to communicate through in-app messaging or related communication tools.

You agree not to use messaging features to:

  • Harass, threaten, bully, exploit, or abuse others
  • Send spam, scams, fraud, or deceptive messages
  • Share illegal, unsafe, hateful, obscene, or inappropriate content
  • Impersonate another person, organizer, charity, or business
  • Solicit users outside the intended purpose of the app
  • Share another person’s private information without permission
  • Coordinate illegal activity or unsafe conduct

RYDR may review, moderate, restrict, preserve, or disclose messages where permitted or required by law, where necessary to enforce this Agreement, protect users, investigate abuse, respond to legal requests, prevent fraud, or operate the app.


11. User-Generated Content

RYDR may allow users to upload, submit, post, display, or share content, including photos, descriptions, event details, charity ryde information, profile information, messages, comments, auction descriptions, and other materials.

You retain ownership of content you submit, but by submitting content to RYDR, you grant RYDR a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, modify, adapt, distribute, promote, and use your content as needed to operate, market, improve, and provide the RYDR app and related services.

You represent and warrant that:

  • You own or have permission to use the content you submit
  • Your content does not violate another person’s intellectual property, privacy, publicity, or other rights
  • Your content is accurate and not misleading
  • Your content does not violate any law or this Agreement
  • Your content does not contain viruses, malware, spyware, or harmful code

RYDR may remove, edit, restrict, or decline to publish any content at any time and for any lawful reason, including content that RYDR believes is unsafe, unlawful, inappropriate, misleading, infringing, abusive, spammy, offensive, objectionable, sexually explicit, harassing, threatening, discriminatory, fraudulent, harmful to minors, or inconsistent with the purpose of the app.

If a user uploads, submits, posts, sends, or shares inappropriate content, RYDR’s creators, owners, administrators, moderators, or authorized representatives may, in their reasonable discretion, remove or block the user from the app, restrict account access, suspend the account, terminate the account, remove content, disable messaging, block participation in rydes or auctions, or take any other action RYDR considers reasonably necessary to protect the app, its users, its organizers, its charities, its brand, or its community. RYDR may take such action at any time, with or without prior notice, to the fullest extent permitted by law.


12. Community Guidelines

RYDR is intended to support a useful, respectful, and safe community for riders, organizers, charities, and supporters.

You agree not to use RYDR to post, promote, send, coordinate, or engage in:

  • Harassment, bullying, intimidation, threats, or abuse
  • Hate speech or discriminatory conduct
  • Fraud, scams, deception, impersonation, or false claims
  • Reckless riding, illegal racing, unsafe stunts, or unlawful activity
  • Content that encourages dangerous or illegal behavior
  • Obscene, exploitative, or sexually explicit content
  • Content involving minors in inappropriate, unsafe, or exploitative ways
  • Spam, unauthorized advertising, or mass solicitation
  • Infringement of intellectual property rights
  • Disclosure of another person’s private information without consent
  • Attempts to bypass moderation, safety tools, account restrictions, or app security

Users should report concerning content, users, messages, events, auctions, or activity to RYDR at support@joinrydr.com or through any available in-app reporting tools.

RYDR may provide tools to report content, report users, block users, restrict interactions, and moderate objectionable content. RYDR may take action against users or content where appropriate, including warnings, removal of content, user blocking, account restriction, account suspension, account termination, event removal, auction removal, and referral to appropriate authorities where necessary. RYDR’s creators, owners, administrators, moderators, and authorized representatives reserve the right to remove, block, restrict, or terminate any user’s access to the app at any time and for any lawful reason deemed reasonable by RYDR, including but not limited to uploading inappropriate content, violating community standards, creating safety concerns, misusing app features, or acting in a way that RYDR determines may harm the app, its users, organizers, charities, brand, or community.


13. Charity Auction Terms

RYDR may provide auction functionality connected to approved charity rydes. Charity auctions must be associated with a charity ryde and must be reviewed or approved by RYDR administrators before becoming available through the app.

By participating in an auction, you agree that:

  • You are responsible for reviewing the auction item description before bidding
  • All bids are binding once submitted
  • You are responsible for paying for any auction item you win
  • All payments are final unless otherwise required by applicable law
  • RYDR does not guarantee the condition, quality, authenticity, legality, value, merchantability, availability, delivery, or suitability of any auction item submitted by an organizer or third party
  • Shipping, handling, delivery, pickup, title transfer, registration, item transfer, fulfillment, and related costs or arrangements are handled outside the RYDR app between the winning user and the organizer
  • RYDR is not responsible for shipping, handling, delivery, pickup, title transfer, item condition, fulfillment, item disputes, organizer delays, or offline arrangements

Auction winners may be required to complete payment through Stripe or another approved payment method. Failure to complete payment may result in cancellation of the winning bid, account restrictions, or other action by RYDR.

RYDR reserves the right to cancel, pause, remove, investigate, or modify an auction if RYDR believes the auction is inaccurate, fraudulent, unlawful, unsafe, disputed, technically compromised, or otherwise problematic.


14. Payments, Final Sales, and Fund Distribution

RYDR may process payments through Stripe or another third-party payment processor. By making a payment through RYDR, you agree to comply with the terms and requirements of the applicable payment processor.

RYDR does not currently charge a separate platform fee, commission, or transaction fee to users or organizers unless otherwise disclosed. Payment processors may charge processing fees or other costs, which may be deducted from funds before distribution where applicable.

Unless otherwise required by law, all payments made through RYDR are final. This includes payments related to auction items, charity-related purchases, event-related payments, donations, or other transactions made through the app.

For charity auctions and charity ryde-related payments, payments will be received by RYDR. Following the completion of the event, RYDR will distribute the applicable net proceeds or profits to the organizer of the approved charity ryde within approximately 7–10 business days, subject to verification, payment settlement, processing delays, chargebacks, disputes, suspected fraud, legal holds, organizer compliance, and any other issue that may reasonably require delay or review.

For purposes of this Agreement, net proceeds may mean the amount received by RYDR after payment processing fees, chargebacks, refunds required by law, taxes, disputed payments, fraud-related holds, and other payment-related deductions.

RYDR may require organizers to provide accurate payout information, identity verification, charity/cause information, tax information, or other documentation before funds are distributed.

RYDR does not guarantee that any payment, donation, auction purchase, charity contribution, or event-related payment is tax-deductible. Users, organizers, and charities should consult their own tax professionals regarding tax treatment.


15. Refund Policy

Unless otherwise stated in writing or required by applicable law, all payments through RYDR are final and non-refundable.

This no-refund policy applies to:

  • Auction payments
  • Charity-related payments
  • Event-related payments
  • Donations
  • Digital purchases
  • Other in-app purchases or transactions

Shipping, handling, fulfillment, pickup, delivery, transfer, and item-specific costs or arrangements are handled outside the RYDR app between the user and the event/charity organizer. RYDR is not responsible for those outside arrangements.

RYDR may, in its sole discretion, review payment disputes, suspected fraud, technical errors, unauthorized transactions, or circumstances where applicable law requires a different result.


16. Privacy Policy

This section explains how RYDR may collect, use, share, retain, and protect information related to users and app activity.

16.1 Information We May Collect

RYDR may collect information you provide directly, information generated through your use of the app, and information collected automatically through your device or app interactions.

This may include:

  • Name
  • Email address
  • Phone number
  • Username or display name
  • Password or authentication information
  • Google Sign-In information, where applicable
  • Profile photo
  • Uploaded photos
  • User descriptions and profile information
  • Messages and communications
  • Event, ryde, charity ryde, and auction submissions
  • Payment-related information processed through Stripe or another payment processor
  • Device information
  • Device IP address
  • Approximate location or location-related data
  • Ride activity
  • Total rydes completed
  • Total miles
  • Weekly distance
  • Leaderboard-related information
  • Event participation information
  • Push notification preferences
  • App usage, performance, and diagnostic information
  • Customer support communications

RYDR does not intend to store full payment card details on RYDR-controlled systems. Payment information may be processed by Stripe or another third-party payment provider.

16.2 How We Use Information

RYDR may use information to:

  • Create and manage user accounts
  • Provide app features and functionality
  • Display profiles, rydes, events, charity rydes, auctions, and leaderboards
  • Track rydes, mileage, weekly distance, and app activity
  • Review and approve charity ryde submissions
  • Process auction payments and payment-related activity
  • Distribute funds to approved organizers
  • Share event-specific information with relevant organizers
  • Send push notifications
  • Provide support and respond to inquiries
  • Detect fraud, abuse, unsafe activity, or policy violations
  • Moderate content and enforce this Agreement
  • Improve the app and user experience
  • Maintain app security
  • Comply with legal obligations

16.3 Location-Related Information

RYDR may collect location-related information while you are using the app. This may include device IP address, approximate location, ride distance, mileage, route-related activity, and other ride metrics.

RYDR is designed so users do not see other users’ live locations. However, RYDR may use location-related and ride activity information to support ride tracking, mileage summaries, leaderboards, event features, safety-related review, fraud prevention, and app functionality.

You may be able to control certain location permissions through your device settings. If you disable location permissions, some app features may not work properly.

16.4 Information Shared with Organizers

If you join, participate in, bid on, pay through, or otherwise interact with a specific event, charity ryde, or auction, RYDR may share event-specific information with the organizer of that event.

This may include information reasonably necessary for event management, auction fulfillment, participant communication, payout verification, safety-related administration, or organizer reporting.

Organizers are responsible for using shared information lawfully and only for legitimate event-related purposes.

16.5 Information Shared with Service Providers

RYDR may share information with service providers that help operate the app and related services. This may include hosting providers, payment processors, authentication providers, email providers, push notification providers, customer support tools, analytics tools, security tools, and other vendors.

RYDR currently expects to process payments through Stripe and may use Google Sign-In for authentication. Additional service providers may be added as the app evolves.

16.6 Future Analytics and Tracking Tools

RYDR does not currently use analytics tools, crash reporting tools, Meta Pixel, Google Analytics, Firebase, or similar tools unless otherwise stated in the app or on the website. RYDR may implement analytics, crash reporting, marketing pixels, or similar technologies in the future.

If RYDR implements tools that materially change how user data is collected, used, or shared, RYDR may update this Agreement and/or provide additional notices where required.

16.7 Push Notifications

RYDR may send push notifications related to account activity, rydes, events, charity rydes, auctions, app updates, messages, reminders, safety notices, and other app-related communications.

You may control push notification permissions through your device settings.

16.8 Data Retention

RYDR may retain information for as long as reasonably necessary to provide the app, maintain records, enforce this Agreement, comply with legal obligations, resolve disputes, process payments, detect fraud, support charity/event records, maintain security, and operate legitimate business functions.

RYDR may retain certain information even after account deletion where required or permitted by law, including transaction records, fraud prevention records, legal records, dispute records, and records necessary for financial, tax, safety, or compliance purposes.

16.9 Account Deletion and Data Requests

Users may request account deletion or data deletion by contacting support@joinrydr.com or using any available in-app account deletion tool.

RYDR will review deletion requests and respond as required by applicable law. Some information may be retained where necessary for legal, safety, financial, dispute, fraud prevention, or operational reasons.

16.10 Security

RYDR uses reasonable administrative, technical, and organizational safeguards designed to protect user information. However, no app, website, network, database, or electronic system is completely secure. RYDR cannot guarantee that unauthorized access, loss, misuse, or disclosure will never occur.

Users are responsible for protecting their own account credentials and device access.

16.11 International Users

RYDR may be accessible globally, although the app is initially focused on the United States. If you access RYDR from outside the United States, you understand that your information may be processed in the United States or other locations where RYDR or its service providers operate.

By using RYDR, you consent to the collection, use, transfer, processing, and storage of your information as described in this Agreement, subject to applicable law.


17. Intellectual Property

RYDR, LLC owns or licenses the app, website, brand name, logos, designs, software, features, text, graphics, interface elements, code, systems, workflows, and other materials associated with RYDR, except for user-generated content and third-party materials.

You may not copy, modify, reverse engineer, sell, rent, distribute, scrape, reproduce, or exploit RYDR’s intellectual property except as expressly allowed by this Agreement or authorized in writing by RYDR.

You may use the RYDR app only for its intended purpose and in compliance with this Agreement.


18. Third-Party Services

RYDR may integrate with or rely on third-party services, including but not limited to Stripe, Google Sign-In, app stores, hosting providers, push notification systems, map/location services, and other technology providers.

RYDR is not responsible for third-party services, outages, errors, fees, policies, security incidents, data practices, payment holds, authentication issues, or service limitations.

Your use of third-party services may be governed by separate terms and privacy policies from those providers.


19. App Store Terms

If you download RYDR through the Apple App Store, Google Play Store, or another app marketplace, your use of the app may also be subject to that marketplace’s rules, terms, and policies.

You acknowledge that:

  • The app marketplace is not responsible for providing support or maintenance for RYDR
  • RYDR, LLC is responsible for the app and its content, subject to this Agreement
  • The app marketplace may be a third-party beneficiary of certain mobile app terms where required by marketplace rules
  • You must comply with applicable app store terms when using RYDR

If any app store term conflicts with this Agreement, the app store term may control only to the extent required by the applicable marketplace.


20. Prohibited Uses

You agree not to:

  • Use RYDR for unlawful, fraudulent, harmful, abusive, or unsafe purposes
  • Violate traffic, vehicle, event, fundraising, tax, privacy, intellectual property, consumer protection, or safety laws
  • Submit false, misleading, or deceptive charity, event, auction, or user information
  • Misrepresent a charity, organizer, business, event, or cause
  • Attempt to manipulate leaderboards, mileage, distance, auction bids, payments, reviews, or app metrics
  • Harass, threaten, abuse, exploit, or discriminate against others
  • Upload objectionable, infringing, unsafe, or unlawful content
  • Interfere with app security or functionality
  • Scrape, crawl, copy, or harvest app data without permission
  • Reverse engineer, modify, or misuse the app
  • Circumvent moderation, account restrictions, payment systems, reporting tools, or safety features
  • Use RYDR in a way that damages the app, users, organizers, charities, RYDR, or third parties

RYDR may investigate and take action against prohibited uses, including account suspension, account termination, content removal, event removal, auction cancellation, payment holds, and legal action where appropriate.


21. Disclaimer of Warranties

RYDR is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, RYDR disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, safety, accuracy, availability, reliability, and error-free operation.

RYDR does not warrant that:

  • The app will always be available, secure, accurate, or uninterrupted
  • Location, mileage, distance, leaderboard, or route data will be accurate
  • Events, rydes, charities, auctions, users, organizers, or content will be safe, lawful, accurate, or reliable
  • Payment processing will be uninterrupted or error-free
  • The app will meet your expectations or be suitable for your intended use
  • Any defect, error, bug, outage, data loss, or security issue will be corrected immediately

You use RYDR at your own risk.


22. Limitation of Liability

To the fullest extent permitted by law, RYDR, LLC and its owners, members, managers, administrators, employees, contractors, developers, representatives, affiliates, successors, assigns, and related parties will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including loss of profits, loss of data, loss of goodwill, personal injury, property damage, event cancellation, payment disputes, auction disputes, organizer disputes, charity disputes, route issues, app outages, or user conduct.

To the fullest extent permitted by law, RYDR’s total liability for any claim arising out of or related to this Agreement or your use of RYDR will not exceed the greater of:

  1. The amount you paid directly to RYDR through the app in the three months before the claim arose; or
  2. $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, RYDR’s liability will be limited to the maximum extent permitted by law.


23. Indemnification

You agree to defend, indemnify, and hold harmless RYDR, LLC and its owners, members, managers, administrators, employees, contractors, developers, representatives, affiliates, successors, assigns, and related parties from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use or misuse of RYDR
  • Your violation of this Agreement
  • Your violation of any law or third-party right
  • Your participation in any ryde, event, charity ryde, auction, meetup, or activity
  • Your content, messages, photos, descriptions, auction listings, or submissions
  • Your conduct toward other users, organizers, charities, or third parties
  • Your operation of any bike, motorcycle, snowmobile, vehicle, ATV, UTV, or other equipment
  • Your event, charity ryde, fundraiser, auction, or organizer responsibilities
  • Any dispute involving you and another user, organizer, charity, bidder, winner, participant, or third party

24. Dispute Resolution, Governing Law, and Venue

This Agreement is governed by the laws of the State of Iowa, without regard to conflict-of-law principles.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to this Agreement, RYDR, your use of the app, or any related service must first be addressed by contacting RYDR at support@joinrydr.com so the parties can attempt to resolve the matter informally.

If a dispute cannot be resolved informally, the dispute will be handled in the state or federal courts located in Iowa, unless RYDR elects to require binding arbitration where permitted by applicable law.

To the fullest extent permitted by law, you and RYDR each waive the right to participate in a class action, class arbitration, collective action, private attorney general action, or representative proceeding.

Claims must be brought on an individual basis only, unless applicable law requires otherwise.


25. Account Suspension and Termination

RYDR may remove, block, suspend, restrict, or terminate your account or access to the app at any time, with or without prior notice, for any lawful reason RYDR deems reasonable. This includes, but is not limited to, situations where RYDR believes that:

  • You violated this Agreement
  • You created risk or potential legal exposure for RYDR or others
  • Your conduct was unsafe, abusive, fraudulent, unlawful, or inappropriate
  • Your content, event, charity ryde, auction, or message violated RYDR rules
  • Your account was compromised or misused
  • Continued access could harm users, organizers, charities, RYDR, or third parties

You may stop using RYDR at any time. You may request account deletion by contacting support@joinrydr.com or using any available account deletion feature in the app.

Sections that by their nature should survive termination will survive, including safety waivers, liability releases, payment obligations, intellectual property terms, disclaimers, limitations of liability, indemnification, dispute terms, and privacy-related provisions.


26. Changes to This Agreement

RYDR may update this Agreement from time to time. When we make changes, we may update the “Last Updated” date, provide notice in the app, send a notification, or use another reasonable method of notice.

Your continued use of RYDR after an updated Agreement becomes effective means you accept the updated Agreement.

If you do not agree to the updated Agreement, you must stop using RYDR.

28. Attorney Review Checklist Before Launch

Before publishing this Agreement, RYDR should have legal counsel review the following areas:

  • Iowa enforceability of waiver and limitation language
  • Minor user language and whether the app should be 13+
  • COPPA/children’s privacy implications
  • Location data and privacy disclosures
  • App Store and Google Play user-generated content requirements
  • Auction rules and payment handling
  • Charity/fundraising compliance
  • Sales tax, charitable solicitation, and nonprofit-related implications
  • Stripe/payment processor compliance
  • International user privacy requirements if the app expands globally
  • Whether binding arbitration should be mandatory or optional
  • Insurance recommendations for RYDR, organizers, and events
  • Account deletion and data retention requirements
  • In-app consent screens and checkbox language

29. Recommended In-App Consent Language

RYDR should present users with a clear acceptance checkbox during account creation and before participating in risky or payment-related features.

By creating an account, I agree to RYDR’s Combined Legal Agreement, including the Terms of Use, Privacy Policy, Safety Waiver, Liability Release, User Content Policy, Auction Terms, and Charity Ryde Terms. I understand that rydes and events may involve risk and that I participate at my own risk.

Recommended charity ryde participation checkbox:

You understand that this ryde or event is organized by a user or third-party organizer, not necessarily by RYDR. I am responsible for my own safety, legal compliance, licensing, insurance, equipment, and decision to participate. I agree to participate at my own risk.

You understand that auction bids are binding, payments are final, and shipping, handling, pickup, delivery, and item fulfillment are handled outside the RYDR app between the winner and the organizer. RYDR does not guarantee tax deductibility, item condition, delivery, or organizer performance.

By using the app, you confirm that the information submitted for this ryde, charity ryde, event, or auction is accurate. You are responsible for required permits, permissions, insurance, safety planning, fulfillment, participant communication, charity/cause representation, and compliance with applicable laws. You understand RYDR may approve, reject, remove, or investigate this submission at any time.
